DISPATCH SERVICES AGREEMENT
This Dispatch Services Agreement (the “Agreement”) is made on __________, 20__ (the “Effective Date”) between:
Seven Green Way LLC, a California limited liability company, [business address], California, email dispatch@sevengreenway.com (“Dispatcher”); and
Carrier: [legal company name], USDOT No. ______, MC No. ______, address [address], email [email], phone [phone] (“Carrier”).
1. Relationship of the parties
1.1 Carrier is a motor carrier holding active operating authority from the Federal Motor Carrier Safety Administration (“FMCSA”). Dispatcher provides administrative dispatch services to Carrier as Carrier’s limited agent.
1.2 Dispatcher is not a broker, freight forwarder or motor carrier. Dispatcher does not arrange transportation for shippers, does not hold itself out to shippers or brokers as responsible for transportation, does not take possession of freight and does not receive, hold or pay freight charges.
1.3 Every load is contracted between Carrier and the broker or shipper, in Carrier’s legal name and under Carrier’s USDOT and MC numbers. Carrier alone is the carrier of record.
1.4 The parties are independent contractors. Nothing in this Agreement creates an employment relationship, partnership or joint venture. Carrier’s drivers and personnel are not employees or agents of Dispatcher.
2. Services
2.1 Dispatcher will, on Carrier’s behalf: (a) search load boards and broker contacts for freight that fits Carrier’s equipment, lanes, home time and minimum rate; (b) negotiate rates; (c) send Carrier’s setup packet (operating authority, certificate of insurance, W-9 and, if applicable, notice of assignment) to brokers; (d) schedule appointments and make check calls; (e) request detention, layover and truck-ordered-not-used (TONU) payments; (f) send proof of delivery and invoices to Carrier’s factoring company or to the broker when Carrier asks; and (g) provide a weekly report of loads, gross revenue, rate per mile and deadhead.
2.2 Dispatcher may offer GPS tracking links to brokers and shippers for loads Carrier has accepted. Location data is used only to provide status updates for that load.
2.3 Dispatcher does not guarantee any number of loads, rates, miles or income.
3. Carrier approval; no forced dispatch
3.1 Dispatcher will send each proposed load to Carrier with origin, destination, dates, miles, deadhead, rate and broker. Dispatcher will not book a load until Carrier approves it.
3.2 Carrier may refuse any load for any reason without penalty.
3.3 Carrier authorizes Dispatcher to communicate with brokers and, only after Carrier approves a specific load, to accept the rate confirmation for that load on Carrier’s behalf. Carrier is bound by rate confirmations it has approved.
4. Carrier responsibilities
4.1 Throughout this Agreement Carrier will maintain: (a) active FMCSA operating authority and USDOT registration; (b) auto liability insurance of at least $1,000,000 and motor truck cargo insurance of at least $100,000, or higher amounts required by a broker for a specific load; (c) all state registrations and permits required for the lanes it runs (including IFTA, IRP, UCR and, where applicable, New York HUT, Kentucky KYU, New Mexico WDT, Oregon weight-mile and Connecticut HUT); and (d) for operations in California, compliance with California Air Resources Board rules, including the Clean Truck Check program.
4.2 Carrier is solely responsible for the safe and lawful operation of its vehicles, including driver qualification, hours of service and ELD use, drug and alcohol testing, vehicle inspection and maintenance, load securement, weight limits, and the safekeeping and delivery of cargo.
4.3 Carrier will notify Dispatcher immediately if its authority or insurance is suspended, cancelled or changed, or if a vehicle or driver is placed out of service.
4.4 Carrier will give Dispatcher accurate information about its equipment, lanes, availability and minimum rates, and will provide signed bills of lading and proofs of delivery promptly.
5. Fees
5.1 For each load booked through Dispatcher and delivered by Carrier, Carrier will pay Dispatcher a fee equal to a percentage of the Gross Line-Haul: six percent (6%) for dry van and power-only loads; seven percent (7%) for refrigerated loads; and eight percent (8%) for flatbed and step-deck loads. For box trucks and hotshots, the fee is a flat three hundred U.S. dollars ($300) per calendar week in which at least one load is delivered.
5.2 “Gross Line-Haul” means the total amount payable by the broker or shipper for the load, including detention, layover, TONU and other accessorial pay, but excluding lumper charges and tolls reimbursed at cost.
5.3 Optional paperwork service (broker setup, invoicing to the factoring company and collections follow-up): fifty U.S. dollars ($50) per week, only if Carrier elects it in writing.
5.4 The fee is earned when the load is delivered. No fee is due for loads that are cancelled and not paid. If a broker does not pay Carrier for a delivered load, Dispatcher will credit the fee for that load once Carrier shows reasonable collection efforts.
5.5 Dispatcher will invoice Carrier each Monday for loads delivered in the previous week. Invoices are due within seven (7) days. Late amounts bear interest at 1.5% per month or the maximum rate allowed by law, whichever is lower.
5.6 There is no setup fee and no minimum term.
6. Freight payments
6.1 Brokers and shippers will pay freight charges directly to Carrier or to Carrier’s factoring company. Dispatcher will never ask a broker to pay freight charges to Dispatcher.
6.2 If Dispatcher receives any freight payment by mistake, it will hold it for Carrier and forward it within two (2) business days, without deduction.
7. Term, trial period and termination
7.1 This Agreement starts on the Effective Date and continues until terminated.
7.2 During the first three (3) calendar days (the “Trial Period”), either party may end this Agreement immediately by written notice.
7.3 After the Trial Period, either party may terminate this Agreement for any reason with twenty-four (24) hours’ written notice. Either party may terminate immediately if the other materially breaches this Agreement, or if Carrier’s authority or insurance lapses.
7.4 Fees for loads delivered before termination, and loads already approved that Carrier delivers after termination, remain payable. Sections 6, 8, 9, 10 and 12 survive termination.
8. Confidentiality
8.1 Each party will keep confidential the other party’s non-public business information, including rates, broker contacts, customer lists, account credentials and financial information, and will use it only to perform this Agreement.
8.2 If Carrier gives Dispatcher access to a load board, ELD or factoring account, Dispatcher will use it only for Carrier’s loads and will stop using it on termination.
9. Limitation of liability
9.1 Dispatcher is not liable for loss of or damage to cargo, personal injury, property damage, accidents, fines, delays, detention, or a broker’s or shipper’s failure to pay. These are risks of Carrier’s operations.
9.2 Dispatcher’s total liability under this Agreement will not exceed the fees Carrier paid Dispatcher in the thirty (30) days before the claim arose. Neither party is liable for indirect, incidental or consequential damages or lost profits.
10. Indemnification
Carrier will defend, indemnify and hold harmless Dispatcher and its members, employees and agents from claims, losses and costs (including reasonable attorneys’ fees) arising from Carrier’s transportation services, its vehicles, drivers or cargo, or its breach of law or of this Agreement. Dispatcher will indemnify Carrier against claims arising from Dispatcher’s gross negligence or willful misconduct.
11. Communications and electronic signatures
11.1 Load approvals, notices and other communications may be given by email, through Dispatcher’s carrier portal, or by Telegram or text message to the contacts listed above, and each counts as written notice.
11.2 This Agreement may be signed electronically and in counterparts. Electronic signatures have the same effect as handwritten signatures under the federal E-SIGN Act and the California Uniform Electronic Transactions Act.
12. Governing law and disputes
This Agreement is governed by the laws of the State of California and applicable federal law. The parties will first try to resolve any dispute in good faith for fifteen (15) days. After that, the state and federal courts located in [county] County, California have exclusive jurisdiction, except that either party may bring a claim in small claims court where it qualifies.
13. General
This Agreement is the entire agreement between the parties about dispatch services and replaces any earlier discussions. It may be changed only in writing signed by both parties. Neither party may assign it without the other’s written consent. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. Translations of this Agreement are for convenience; the English text governs.
